TERMS AND CONDITIONS FOR ERIN CONDREN #ECSquad RewardStyle LOS ANGELES COMPETITION

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS COMPETITION OR TO RECEIVE THE PRIZE. A PURCHASE WILL NOT AFFECT OR IMPROVE THE CHANCES OF WINNING.

This Competition is subject to all applicable laws and regulations. Void where prohibited or restricted by law. The competition is only valid for influencers located within the continental United States.

1. The Promoter

Erin Condren, INC., whose registered office is at 201 West Howard Lane, Austin, TX 78753 (“Promoter”).

2. The Competition

Entrants will receive different entry points for sharing Erin Condren with their RewardStyle links on their blog and/or social media channels during the month of November 2021 to receive a chance to receive the Prize. The competition is only valid for influencers located within the continental United States. See section 5.5 for entry point levels.

3. The Prize

3.1. The prize is (the “Prize”):

  • • Round-trip airfare to Los Angeles unless winner is within a 200mi. radius from the Los Angeles airport.
  • • 2-Night Hotel Stay
  • • $250 shopping spree on ErinCondren.com
  • • All meals included (to include a minimum of two dinners, one breakfast and one lunch).
  • • $200 Visa Gift Card for any needed transportation or expenses
  • • Two days of LA-filled activities (to be determined by Erin Condren)

4. Terms

4.1. The Prize is subject to availability and the Promoter’s discretion. There is no cash alternative for the Prize and the Promoter reserves the right to substitute the Prize with a prize of equal or greater value or change or withdraw any aspect of the Prize at any stage without notice.

4.2. As the Prize will involve fixed dates, it is the responsibility of the winning entrant to ensure that they are available for the agreed upon dates; otherwise the Promoter has the right to pick an alternative winner.

4.3. The Promoter is not responsible for any additional costs and/or expenses in relation to the Prize (without limitation) including (but not limited to) travel costs, hotel mini bar costs other than any specifically set out by the Promoter as part of the Prize and for the specified periods of time (where applicable). The winner may be required to provide credit card details to the hotel to cover additional purchases during their stay.

4.4. The winning entrant shall not, while using the Prize and during their time in Los Angeles, display or publicize any political slogans or homophobic language, images of a lewd or explicitly sexual nature, images containing logos of competitors and overt brand sponsorship or anything else deemed to be ambush marketing, or content which is defamatory, obscene, illegal, vulgar, offensive or otherwise unsuitable or infringes others’ rights (including third party intellectual property rights).

5. How to Enter

5.1. The Competition will be open to a closed group of RewardStyle Erin Condren influencers, hand selected by the Promoter (the “Entrants”).

5.2. Following is the entry point system:

  • • FACEBOOK: 5 ENTRIES/POST

  • • IGTV VIDEO, INSTAGRAM LIVE or INSTAGRAM REEL: 50 ENTRIES/VIDEO
  • • TIKTOK VIDEO: 50 ENTIES/POST (inclusion or exclusive)
  • • BLOG POST: 50 ENTRIES/POST (inclusion or exclusive)
  • • YOUTUBE VIDEO: 75 ENTRIES/VIDEO (inclusion or exclusive)

5.3. All entries MUST be submitted via the official Entry Form Here by December 1, 2021.

5.4. All RewardStyle links must link to ErinCondren.com.

5.5. The Competition will run from November 1, 2021 to November 30, 2021 (Closing Date) and only coverage during this time period will be valid. Entries made before or after these dates and times shall not be eligible.

5.6. The Competition is free to enter, no purchase is necessary.

5.7. The Promoter will not accept responsibility for entries that are incomplete or that do not comply with the guidelines outlined in this document, regardless of cause, including, for example equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind.

5.8. By entering, all participants will be deemed to have read, accepted and be bound by these terms and conditions, any other requirements set out in the promotional material for the Competition (in the event of a conflict, the requirements set out in the promotional material will take precedence), as well as all applicable laws and regulations, including without limitation those governing copyright, content, defamation, privacy, publicity and the access or use of others’ computer or communication systems.

6. Eligibility

6.1. By participating in this Competition, you warrant that you are: (a) a resident of the continental United States of America; (b) aged 18 years or over or the age of majority (whichever is older) at the date of entry; (c) eligible to enter and not bound by any other agreements with third parties that might contradict or breach the terms of this Competition; (d) not an employee of the Promoter and its associated companies or group companies; (e) not professionally associated with the Competition; and (f) not a member of the immediate families or households of (d) and (e) above.

6.2. In entering the Competition, entrants confirm that they are eligible to do so and eligible to participate in the Prize. The Promoter may require entrants to provide proof of such eligibility.

6.3. By entering the Competition, all participants warrant that all information submitted by them is true and accurate and their own work.

6.4. Entrant understands the point system and how entries will be allotted as referenced above (see 5.2).

6.5. If entrants have submitted a photo which is not of themselves the model featured must be willing to sign a model release form and the signed form must be provided to the Promotor.

6.6. Winners are responsible for obtaining any insurances required for their travel to and stay in Los Angeles.

6.7. The Promoter reserves the right at its sole discretion to disqualify from further participation in the Competition any individual it has reason to believe is tampering with the operation of the Competition, or to be acting in any manner deemed by the Promoter to be in violation of these terms and conditions, relevant laws and/or regulations and/or third party rights or to be in bad faith.

6.8. If the Promoter subsequently discovers the winning entrant is ineligible, has breached these terms and conditions or is suspected of engaging in any other foul play or unethical conduct, then the Promoter reserves the right (at its absolute discretion) not to award the Prize to that entrant and award the Prize to another entrant. In that event the original winning entrant agrees to return the products (at his/her expense) immediately to the Promoter. No alternative prize will be awarded to the original winning entrant.

7. Winner Announcement

7.1. One winner will then be chosen based on the above criteria. The selection of the winner will be final and binding and no correspondence or discussion will be entered into.

7.2. The winner will be contacted privately by the Promotor before the official “winning announcement” is made on the Promotor’s social channels.

7.3. The final winner will be announced on the Erin Condren private Affiliate Facebook Group once the winner has accepted their prize.

7.4. The decision of the Promoter is final and no correspondence or discussion will be entered into. The Promoter will contact the winner as soon as the decision has been made and no later than December 31, 2021. Travel arrangements will then be made by the Promotor for the winner’s Los Angeles trip in 2022. The Promotor will book hotels, flights and meals.

8. Claiming the Prize

8.1. The Promoter will make all reasonable efforts to contact the winner. If the winner cannot be contacted or is not available, or has not claimed/acknowledged their prize within 3 calendar days of being notified, the Promoter reserves the right to offer the Prize to an alternate winner.

8.2. The Prize may not be claimed by a third party on the entrant’s behalf.

8.3. The Promoter does not accept any responsibility or liability if the entrant is not able to take up the Prize or unable to travel on the agreed upon dates or the Prize is withdrawn.

8.4. The winning entrant will be notified via email.

9. Limitation of Liability

9.1. The Promoter is not responsible for any damage or loss suffered by any entrant where such damage or loss was not at the time the entry into the prize draw was made a reasonably foreseeable consequence of a breach of these terms and conditions or if the Competition does not run as planned. To the maximum extent permitted by law, all conditions, warranties and representations expressed or implied by law are hereby excluded.

9.2. The Promoter will not be held responsible for the failure to fulfil the obligations of third parties involved in this Competition, although the Promoter will always endeavor to minimize the effect to the participants of any such failure.

9.3. Nothing in these terms and conditions shall operate to exclude the Promoter’s liability: (a) for death or personal injury as a result of its negligence; (b) for fraud; or (c) further than is permitted by law.

10. Ownership of Competition entries and intellectual property rights

10.1. The winning entry and any accompanying material submitted to the Promoter will become the property of the Promoter on receipt and will not be returned. The Promotor shall become the owner of the prize winners competition content.

10.2. By submitting your entry and any accompanying material, you agree that in the event you are the winner you hereby:
(a) assign to the Promoter all your intellectual property rights (including but not limited to copyright and performers property rights) with full title guarantee; and (b) waive all moral rights (and agree not to assert these against us or our assigns), in and to your competition entry (including but not limited to the photos and images submitted as part of your entry and in those rights in your curated content) and otherwise arising in connection with your entry to which you may now or at any time in the future be entitled to under the Copyright, Designs and Patents Act 1988 as amended from time to time and under all similar legislation from time to time in force anywhere in the world. To the extent that the assignment above is not valid you hereby grant a perpetual, irrevocable, assignable, transferrable, royalty free and unlimited license to the same.

10.3. Prize winner agrees for the Promoter to use, display, publish, transmit, copy, edit, alter, store or re-format entries (including their photo) and make entries available on its website and any other media, whether now known or invented in the future, and in connection with any publicity of the Competition to the extent permitted by applicable law.

10.4. By submitting their entry, entrants confirm that:
(a) images and other submissions are original works, are not defamatory and do not infringe third-party rights; (b) there are no conflicting agreements in place that restrict usage of these images or other submissions; (c) they have consent to use any third-party image in the entry and rights have been waived for that use and that any such person whose image is featured is over 18 or over the age of majority (whichever is older); (d) they will produce evidence of any required consents at the Promoter’s request, or risk being disqualified from entering the Competition.

10.5. Entrants agree not to bring against the Promotor any actions, suits, claims and demands in respect of defamation or any infringement or violation of any personal and/or property rights of any sort from our use of their entry.

10.6. Entrants unconditionally waive their right to seek or obtain an injunction to prevent or restrict our use of the photograph and image provided as part of their entry.

10.7. Entrants agree that we have the right to use entrants' names, likenesses and other personal information in conjunction with their entry.

10.8. Entrants acknowledge that the Competition is in no way sponsored, endorsed or administered by, or associated with, Instagram, Facebook, Twitter or YouTube.

10.9. The prize winner undertakes to execute all documents, make all applications, give all assistance and do all acts and things, at the expense of the Promotor and at any time, as may, in the opinion of the Promotor, be necessary or desirable to give effect to the provisions of this paragraph 10 and/or to protect and/or maintain intellectual property rights assigned or licensed pursuant to this paragraph and/or to defend the Promotor against claims that the entry embodies intellectual property rights which infringe third party rights.

11. Data Protection and Publicity

11.1. By entering the Competition, entrants acknowledge that the Promoter may process, store, distribute and/or use the information (including personal data) entrants provide in their entry and in the process of entering for the following purposes which are in the Promoter’s legitimate interests under data protection laws: a. to enable it to administer entrants’ entry including deciding whether it accords with these terms and conditions; b. to notify entrants if they are the winning entrant; c. to share with organizations or agents assisting with the conduct of the Competition and fulfillment of the prize; d. to announce the winner of the Competition in any media or press and to respond to others’ enquiries as to who the winner is; or e. for any other reasonable and related promotional purposes.

11.2. The Promotor will only disclose entrants’ personal data to those of its group companies and third party service providers who need it for the purposes listed in paragraph 11.1 above. The Promotor will only retain the non-winning entrants’ personal data for six months following the announcement of the winner, save that the photo provided may be present on Instagram until the entrant shall delete it.

11.3. Prize winners further agree to participate in any reasonable publicity required by the Promoter without further consent or payment.

12. General

12.1. The Promoter reserves the right to hold void, suspend, cancel, or amend the Competition where it becomes necessary to do so without prior notice.

12.2. The Promoter reserves the right to cancel or amend these terms and conditions at any time without prior notice.

12.3. In the event that any provision of these terms are held to be illegal, invalid, void or otherwise unenforceable, it shall be severed from the remaining provisions which shall continue in full force and effect.

12.4. The entrant hereby waives and releases the Promotor action or demand arising out of or in connection with the use of the entry or the Competition.

12.5. By entering the Competition, the entrant indemnifies the Promotor against any and all actions, claims, damages, expenses or liabilities suffered or incurred directly or indirectly by us in consequence of any breach or alleged breach, non-performance or non-observation by the entrant of any agreement, conditions, obligation or warranty on the part of the entrant herein.

12.6. The Promotor shall be entitled to assign the benefit of these terms either in whole or in part to any of its subsidiary or associated bodies or successors in title and/or any third party.

12.7. These terms and conditions shall be governed by Texas law, and the parties submit to the non-exclusive jurisdiction of the courts of Texas.
